Job Description
The Post Oak Group is seeking an Associate to support and increasingly lead execution workstreams across the firm's lower middle market capital markets and M&A practice. This role is designed for a rigorous, detail-oriented professional ready to take ownership of analysis, materials, and investor coordination on live transactions.
This is a client-facing, investor-facing role. The Associate works directly alongside senior bankers in front of institutional investors, family offices, and private capital sources, with substantive responsibility for work product and process support from day one.
Role Overview
As an Associate, you will drive the analytical and materials workstreams underpinning sell-side M&A, private placements, and capital raises—building models, drafting investor materials, supporting outreach, and coordinating diligence. You will interact directly with investors and clients under senior supervision.
The role demands analytical rigor, excellent written communication, and the organizational discipline to manage multiple workstreams in parallel while maintaining full regulatory compliance.
Key Responsibilities
Own financial analysis for live mandates, including EBITDA normalization, LTM and PF analysis, financial modeling, and comparable company and precedent transaction analysis
Draft investor-facing transaction materials, including teasers, confidential information memoranda, investor presentations, and executive summaries
Support investor outreach, helping build and tier investor universes, drafting targeted communications, and tracking follow-up cadence across active processes
Participate in investor engagement, joining investor calls and meetings, helping field questions, and coordinating diligence requests
Manage the deal infrastructure, including the CRM, outreach tracker, and data room, ensuring all activity and milestones are current and accurate
Coordinate diligence, organizing document requests, tracking open items, and serving as a working-level contact between investors, clients, and advisors
Review and develop Analyst work product, providing quality control and mentorship on modeling and materials
Participate in client calls and management presentations alongside senior bankers
Maintain regulatory compliance, supporting suitability documentation and conducting all activity in accordance with FINRA rules, SEC regulations
Qualifications
Active FINRA registration in one of the following: Series 7 (General Securities Representative) or Series 82 (Private Securities Offerings Representative), or the ability to obtain registration promptly upon affiliation
Affiliated with, or able to affiliate with, a FINRA member broker-dealer
Strong financial analysis and modeling skills, including EBITDA normalization and trading and transaction comparables, with the ability to speak to a financial model with confidence
Working knowledge of M&A and capital raising fundamentals, including deal structures, documentation, and process mechanics
Exceptional written communication in a capital markets register, with acute attention to detail across all work product
Strong interpersonal skills and the maturity to interact credibly with investors and client executives
Highly organized and self-directed, comfortable operating in a performance-driven, regulated environment with significant individual accountability
